Pay range: $57 - $100 per hour

1 yr contract with potential to become full time.

Core Responsibilities

  • Form Delaware C-corporations, LLCs, and other entities; handle conversions, reincorporation, and foreign qualifications
  • Draft and assemble founder documents: charters, bylaws, initial board and stockholder consents, founder stock purchase agreements with vesting, and confidential information and invention assignment agreements
  • Maintain minute books and corporate records; prepare board and stockholder consents, written actions, and meeting minutes on an ongoing basis
  • Manage annual compliance calendars, registered agent relationships, Delaware franchise tax and annual reports, and state-level renewals
  • Own capitalization tables in [Carta / Pulley / Fidelity Private Shares / Shareworks], including issuances, transfers, cancellations, repurchases, and conversions
  • Administer equity incentive plans: draft grant packages, track board approvals, monitor plan pool availability, and process exercises and early exercises
  • Prepare and track 83(b) elections, including deadline monitoring and filing confirmation
  • Build and reconcile pro forma cap tables and waterfall models to support financings and exits
  • Manage closings for SAFEs, convertible notes, and priced equity rounds using NVCA and Series Seed model documents
  • Draft and maintain closing checklists, signature packets, and stock ledgers; coordinate signature collection through [DocuSign / Adobe Sign]
  • Prepare charter amendments, investor rights and voting agreements, ROFR/co-sale agreements, and related ancillary documents in draft form for attorney review
  • Assemble and distribute closing sets and closing binders
  • Prepare securities filings, including Form D and state blue sky notices, and support Rule 701 and other exemption analyses

Qualifications/Skills

  • 5+ years of corporate paralegal experience, with at least 3 years supporting emerging companies and venture financings at a law firm or in-house
  • Demonstrated ownership of cap table administration in a platform such as Carta, Pulley, Shareworks, or Fidelity Private Shares
  • Working knowledge of Delaware corporate law mechanics and NVCA model financing documents
  • Direct experience running closings, including checklist management and signature coordination
  • Bachelor's degree, paralegal certificate, or equivalent practical experience
  • Precision under deadline pressure and the judgment to escalate the right issues to attorneys
