Our customer is a leading global media and entertainment company that creates and distributes a large portfolio of content and brands across television, film, and streaming and is available in over 200 countries and territories and over 45 languages. Headquartered in New York, NY with more than 30 office locations in the United States.

Our Customer is seeking a Paralegal on a contract basis to provide corporate legal support to their team members across the US, EMEA, APAC, and LatAm. This role is hybrid (3 days on-site and 2 days remote/week) in New York City (Flatiron District).

This role requires the ability to organize documents and information in a clear, consistent, and structured manner while independently managing assigned projects. The ideal candidate takes full ownership of projects from initiation through completion, develops efficient workflows, and creates tracking tools—such as spreadsheets or project dashboards—to communicate progress effectively.

Strong problem-solving skills and a natural curiosity about the organization’s business operations and corporate governance are essential for success. The role involves balancing collaboration with cross-functional colleagues and independent document and information management. The successful candidate demonstrates the ability to work effectively within a team environment while operating as a proactive, self-directed planner.

Responsibilities

  • Assist with the management of U.S. subsidiaries, including maintaining corporate records and ensuring compliance with governance requirements
  • Prepare and file state registrations, qualifications, annual reports, and DBA filings
  • Draft and maintain corporate governance documents, including formation documents, bylaws, LLC agreements, resolutions, powers of attorney, and secretary or incumbency certificates
  • Coordinate with third-party corporate service providers in Canada and the Caribbean to ensure local regulatory compliance
  • Maintain accurate director and officer records and support accounting and tax teams with entity-related documentation
  • Update and maintain entity records within the corporate entity management system (hCue)
  • Lead medium-term data cleanup projects within the entity management database and archive outdated information
  • Organize, scan, and manage historical corporate documents across multiple document management systems
  • Maintain consistent folder structures and document naming conventions
  • Manage and respond to inquiries through the team inbox, including know-your-customer and compliance-related requests
  • Provide entity information and ultimate beneficial ownership details to internal stakeholders as needed
  • Support longer-term process improvement initiatives related to document and database management

Skills And Qualifications

  • Bachelor’s degree (B.A. or B.S.) in a related field required
  • Minimum 1-3 years of experience in an office setting required. More experience is welcome, and internships will be considered.
  • Prior legal experience in a law firm or corporate legal department, particularly in corporate governance
  • Familiarity with corporate entities, including corporations, LLCs, and partnerships
  • Knowledge of constitutional and governance documents such as certificates of incorporation or formation, bylaws, LLC or partnership agreements, board resolutions, shareholder resolutions, powers of attorney, and officer certificates
  • Experience managing and maintaining databases, including ownership of data accuracy and organization
  • Strong proficiency in Microsoft Office, including Outlook, Word, and Excel
  • Proficiency in SharePoint, OneDrive, Teams, Zoom, Adobe, and AdobeSign
  • Strong organizational and project management skills
  • Strong attention to detail in legal documentation and written communications
  • Ability to manage confidential information with discretion
  • Ability to prioritize work, meet deadlines, and manage multiple tasks under time constraints
  • Strong problem-solving skills and good judgment, including knowing when to escalate issues
  • Ability to learn quickly and collaborate effectively in a hybrid, multi-location team environment

Preferred Qualifications

  • Completion of paralegal studies or certification
  • Experience with international corporate governance
  • Experience working with cloud-based entity management and document management systems
  • Experience supporting accounting or tax teams with entity-related documentation
